Terms of Business

These commercial terms apply to paid NeuraRank services. The proposal, order confirmation or statement of work for your engagement sets the specific scope and pricing.

1. Scope and contract

These Terms of Business apply to paid services provided by NeuraRank. They form part of the client contract together with the applicable proposal, order confirmation or statement of work.

If there is a conflict, the more specific written terms agreed for the relevant engagement will take priority.

2. Services and deliverables

NeuraRank will provide the services and deliverables described in the agreed proposal or scope. Service descriptions on the public website are general and do not replace the agreed scope.

Any work outside that scope, including full website redevelopment, advertising spend or advanced custom work, may be quoted separately.

3. Client responsibilities

The client is responsible for providing accurate and timely information, access, approvals, technical input and materials reasonably needed to deliver the agreed work.

The client remains responsible for confirming the accuracy of technical claims, capabilities, pricing, availability, compliance information and other business information before publication or use.

4. Fees and payment

Fees, setup charges, minimum terms, payment dates and any applicable taxes are set out in the proposal, order confirmation, invoice or other written commercial terms for the engagement.

Third-party costs and work outside the agreed scope are not included unless expressly stated. NeuraRank may pause work where an agreed payment is overdue.

5. Changes and approvals

Changes to the agreed scope, priorities, deliverables or timetable should be agreed in writing. Delays in receiving information, access or approvals may affect delivery dates and the monthly work plan.

6. Cancellation and ending an engagement

Cancellation rights, notice requirements, minimum commitments and any consequences of ending an engagement are governed by the agreed proposal or written service terms.

NeuraRank may suspend or end services where the client materially breaches the agreement, fails to provide essential cooperation or does not pay amounts due, subject to applicable law and any applicable notice requirements.

7. Technical and commercial responsibility

NeuraRank supports website visibility, buyer journeys and enquiry handling. The client remains responsible for engineering decisions, manufacturing feasibility, quotations, pricing, production, compliance, delivery commitments and final commercial decisions unless a written agreement expressly states otherwise.

8. Confidentiality

Each party should protect confidential business, commercial and technical information received from the other. Where an engagement requires more detailed confidentiality obligations, those obligations may be set out in a separate agreement.

9. Intellectual property

NeuraRank retains ownership of its pre-existing and reusable intellectual property used in delivering or improving its services. This includes:

  • software;
  • tools;
  • systems;
  • methods;
  • processes;
  • workflows;
  • templates;
  • know-how;
  • automation logic;
  • internal documentation;
  • reusable code and technical components.

Client-specific deliverables may be used or owned by the client as agreed in writing. That does not transfer NeuraRank's underlying reusable systems, methodology, tools, code or know-how unless the written agreement expressly says so.

10. Data protection and third parties

Each party will handle personal information in accordance with applicable data protection law. NeuraRank may use suitable third-party providers to host, communicate, process payments, store information or deliver agreed services.

Third-party services may have their own terms, privacy information and responsibilities.

11. Liability

Any liability for paid services is subject to the agreed commercial terms and applicable law.

Nothing in these Terms of Business excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

12. Changes to these terms

NeuraRank may update these general Terms of Business from time to time. The version that applies to an engagement will be the version agreed with the client or incorporated into the applicable proposal, order confirmation or service agreement.

13. Governing law and jurisdiction

These Terms of Business are governed by the law of England and Wales. The courts of England and Wales will have exclusive jurisdiction, subject to any different written terms agreed for the engagement and any mandatory rights under applicable law.
